Terms of Service
Your agreement with Aruon-ai LLC

Welcome to ARUON AI. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Aruon-ai LLC, a Texas limited liability company doing business as ARUON AI (“Company,” “we,” “us,” or “our”), governing your access to and use of the ARUON AI platform, including all related services, features, and applications available at aruon.ai (collectively, the “Service”).

By creating an account, subscribing to a plan, entering payment information, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Services

ARUON AI provides an artificial intelligence-powered virtual receptionist and business communication automation platform designed for small businesses. The Service includes, but is not limited to, automated phone answering, call handling, appointment scheduling, and business communication management. The specific features available to you depend on your selected subscription tier.

We reserve the right to modify, update, or discontinue any feature of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify you of material changes to the Service.

2. Eligibility and Account Registration

To use the Service, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, and have the legal authority to enter into a binding agreement. By registering for an account, you represent and warrant that all information you provide is accurate, current, and complete, and you agree to update such information as necessary to maintain its accuracy.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@aruon.ai of any unauthorized use of your account or any other security breach.

3. Subscription Plans and Pricing

ARUON AI offers the following subscription tiers, each billed on a monthly recurring basis:

Additional premium services, including AI Business Integration Consulting and AI Workflow Buildout & Automation Setup, are available at custom-quoted rates. Pricing for premium services will be provided in a separate statement of work or service agreement.

All prices are quoted in United States Dollars (USD) and are exclusive of applicable taxes, which will be calculated and added at the time of billing based on your location and applicable tax regulations.

4. Free Trial

ARUON AI offers a fifteen (15) day free trial of the Service. A credit card is required to begin your free trial. During the trial period, you will have access to the features associated with the subscription tier you select.

At the conclusion of the free trial, you must select a paid subscription plan and provide valid payment information to continue using the Service. If you do not subscribe to a paid plan, your access to the Service will be suspended. We reserve the right to modify or discontinue the free trial offer at any time.

5. Payment Terms and Billing

5.1 Payment Methods

We accept major credit cards and debit cards for payment. By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and authorize us (or our third-party payment processor) to charge your payment method for the total amount of your subscription, including any applicable taxes and fees.

5.2 Recurring Billing

By subscribing to a paid plan, you authorize ARUON AI to charge your designated payment method on a monthly recurring basis on the same calendar date as your initial subscription date (or the nearest available date if the original date does not exist in a given month). Your subscription will automatically renew each billing cycle at the then-current rate unless cancelled in accordance with Section 8 of these Terms.

5.3 Failed Payments

If a scheduled payment fails due to insufficient funds, expired payment information, or any other reason, we will attempt to process the charge again. You are responsible for ensuring your payment information is current and valid. Continued failure to pay may result in suspension or termination of your account.

5.4 Bank Statement Descriptor

Charges from ARUON AI will appear on your bank or credit card statement as “ARUON AI.”

6. Auto-Renewal and Price Changes

6.1 Automatic Renewal

Your subscription will automatically renew at the end of each monthly billing cycle unless you cancel your subscription in accordance with the cancellation procedures outlined in Section 8. By subscribing, you consent to this automatic renewal and the associated recurring charges to your payment method.

6.2 Price Changes

We reserve the right to adjust subscription pricing at any time. In the event of a price increase, we will provide you with at least thirty (30) days’ written notice prior to the effective date of the change. Notice will be sent to the email address associated with your account. If you do not agree to the revised pricing, you may cancel your subscription before the new pricing takes effect. Your continued use of the Service after the price change becomes effective constitutes your acceptance of the new pricing.

7. Taxes

You are responsible for all applicable taxes, including state and local sales tax, use tax, value-added tax, or any other governmental tax or levy imposed in connection with your use of the Service. If we are required to collect or remit taxes on your behalf, such taxes will be added to your invoice. Our Texas Sales and Use Tax Permit is on file and charges will comply with applicable Texas tax law.

8. Cancellation Policy

8.1 How to Cancel

You may cancel your subscription at any time by sending a written cancellation request via email to support@aruon.ai. Your cancellation request must include your full name, the email address associated with your account, and a clear statement of your intent to cancel. We will acknowledge receipt of your cancellation request within two (2) business days.

8.2 Effect of Cancellation

Upon cancellation, your subscription will remain active through the end of your current billing cycle. You will continue to have full access to the Service until the expiration of the period for which you have already paid. No further charges will be applied to your payment method after the current billing cycle concludes.

8.3 No Refunds

All subscription fees are non-refundable. We do not provide prorated refunds or credits for any partial billing period remaining after cancellation. This no-refund policy applies regardless of the reason for cancellation, including but not limited to dissatisfaction with the Service, changes to the Service, or your decision to switch to a competing product.

8.4 Data After Cancellation

Following the end of your billing cycle after cancellation, your account will be deactivated. We will retain your data for a period of thirty (30) days following deactivation, during which time you may request a copy of your data by emailing support@aruon.ai. After this thirty (30) day period, your data may be permanently deleted in accordance with our Privacy Policy.

9. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service to transmit or facilitate the transmission of any unlawful, harassing, defamatory, abusive, or otherwise objectionable content; (b) attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service; (c) interfere with or disrupt the integrity or performance of the Service; (d) use the Service to make automated calls in violation of the Telephone Consumer Protection Act (TCPA) or any applicable telemarketing or do-not-call regulations; (e) reverse engineer, decompile, or disassemble any portion of the Service; or (f) resell, sublicense, or redistribute the Service without our prior written consent.

10. Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, text, graphics, and other content provided by ARUON AI, is the exclusive property of Aruon-ai LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

You retain ownership of all data, content, and materials you upload or input into the Service (“Customer Data”). By using the Service, you grant us a limited license to process your Customer Data solely for the purpose of providing and improving the Service.

11. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

We implement commercially reasonable technical and organizational security measures to protect your data. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

12. HIPAA Considerations for Healthcare and Med Spa Customers

12.1 Applicability

This section applies to Customers who are “Covered Entities” or “Business Associates” as defined under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), as amended by the Health Information Technology for Economic and Clinical Health Act (“HITECH Act”), and their implementing regulations (collectively, “HIPAA Rules”). This includes, but is not limited to, medical spas (med spas), cosmetic clinics, dermatology practices, aesthetic treatment centers, veterinary clinics, dental offices, chiropractic offices, and any other healthcare-adjacent small business that may handle Protected Health Information (“PHI”).

12.2 Business Associate Agreement (BAA)

If you are a Covered Entity or Business Associate subject to HIPAA and your use of the Service involves the transmission, processing, or storage of PHI, you must execute a separate Business Associate Agreement (“BAA”) with Aruon-ai LLC prior to using the Service in connection with any PHI. You may not transmit, input, or otherwise provide PHI through the Service until a BAA has been fully executed by both parties. To request a BAA, please contact us at legal@aruon.ai.

12.3 Third-Party Voice Technology Provider

ARUON AI utilizes ElevenLabs as its voice synthesis and conversational AI technology provider. ElevenLabs’ Conversational AI platform maintains HIPAA compliance, is SOC 2 Type II certified, and holds ISO 27001 and PCI DSS Level 1 certifications. Key HIPAA-relevant safeguards provided by ElevenLabs include:

TLS Encryption in Transit: All data transmitted to and from ElevenLabs’ platform is protected by Transport Layer Security (TLS) encryption, securing voice data and associated metadata during transmission.

Zero Retention Architecture: When enabled, ElevenLabs’ Zero Retention Mode ensures that PHI shared during conversations is not stored or logged in any system component. Raw audio files and transcripts containing PHI are not retained.

Intelligent PHI Recognition & Redaction: The platform includes real-time identification and automatic redaction of PHI before any data reaches storage. Conversation analytics include only non-sensitive metadata such as call duration and success rates.

Additional Safeguards: LLM allowlisting, PII redaction controls, and storage prevention mechanisms that disable uploading of raw audio files to cloud storage.

12.4 Customer Obligations Under HIPAA

If you are subject to HIPAA, you are solely responsible for: (a) determining whether PHI will be transmitted through the Service and ensuring a BAA is in place before doing so; (b) configuring the Service in a manner consistent with your HIPAA compliance obligations; (c) providing any required notices to patients or clients regarding the use of AI-powered communication tools; (d) maintaining your own HIPAA compliance program, including workforce training, risk assessments, and policies and procedures; and (e) ensuring that any use of the Service complies with applicable federal and state privacy laws, including but not limited to the Texas Medical Records Privacy Act.

12.5 Limitation

ARUON AI’s standard subscription plans are not HIPAA-compliant by default. HIPAA compliance features, including execution of a BAA, require coordination with our team and may be subject to additional terms, configurations, or pricing. ARUON AI does not provide legal advice regarding your HIPAA obligations. We strongly recommend that healthcare and med spa Customers consult with a qualified healthcare compliance attorney to ensure their use of the Service meets all applicable regulatory requirements.

13. Call Recording and Monitoring Disclosure

13.1 AI-Powered Calls

The Service utilizes artificial intelligence to answer, handle, and process telephone calls on your behalf. Callers interacting with the Service are communicating with an AI-powered virtual receptionist, not a human agent. You acknowledge and agree that it is your responsibility to ensure that callers are informed they are speaking with an AI system, in compliance with applicable federal and state consumer protection laws.

13.2 Call Recording

The Service may record, transcribe, or otherwise process telephone conversations for purposes including but not limited to: service delivery, quality assurance, AI model improvement, analytics, and dispute resolution. By using the Service, you consent to the recording and processing of calls handled through the platform.

Important — Customer Consent Obligations: Many jurisdictions, including certain U.S. states, require all-party consent before a call may be recorded. Texas is a one-party consent state, meaning that only one party to the conversation must consent to the recording. However, if your business receives calls from individuals located in two-party (all-party) consent states — such as California, Florida, Illinois, Pennsylvania, Washington, and others — you may be required to provide additional notice and obtain consent from all parties before recording. You are solely responsible for configuring appropriate call disclosure messages and obtaining any required consent from callers in compliance with all applicable federal, state, and local laws, including the federal Wiretap Act (18 U.S.C. § 2511) and applicable state wiretapping and eavesdropping statutes.

13.3 Call Data Retention

Call recordings, transcripts, and associated metadata are retained in accordance with our data retention policies and Privacy Policy. For Customers subject to HIPAA who have executed a BAA, call data containing PHI will be handled in accordance with the terms of the BAA, including applicable zero-retention and redaction configurations. You may request deletion of call data by contacting support@aruon.ai.

14. Data Storage, Encryption, and Security

14.1 Encryption Standards

ARUON AI employs industry-standard encryption to protect your data. All data transmitted between your devices, the Service, and our third-party infrastructure providers is encrypted in transit using Transport Layer Security (TLS) protocols. Data stored on our systems and those of our infrastructure partners is encrypted at rest using AES-256 encryption or equivalent standards.

14.2 Infrastructure and Hosting

The Service is hosted on commercially reputable cloud infrastructure providers that maintain their own security certifications and compliance attestations. Our voice technology provider, ElevenLabs, maintains SOC 2 Type II, ISO 27001, and PCI DSS Level 1 certifications. We select infrastructure partners that demonstrate commitment to enterprise-grade security, availability, and confidentiality standards.

14.3 Data Storage Location

Customer Data is primarily stored on servers located within the United States. In the event that data processing requires transfer to servers outside of the United States, we will ensure that appropriate safeguards are in place in accordance with applicable data protection laws.

14.4 Access Controls

We implement role-based access controls, multi-factor authentication, and principle-of-least-privilege policies to restrict access to Customer Data to authorized personnel only. Access to production systems is logged and audited.

14.5 Incident Response

In the event of a confirmed data breach that affects your personal information, we will notify you in accordance with applicable federal and state breach notification laws, including the Texas Identity Theft Enforcement and Protection Act (Tex. Bus. & Com. Code § 521.053), which requires notification without unreasonable delay and no later than sixty (60) days after discovery of the breach. Notification will include the nature of the breach, the types of information involved, and steps you can take to protect yourself.

14.6 Third-Party Security Certifications

ARUON AI partners with third-party providers that hold recognized security certifications. Our current voice technology provider, ElevenLabs, maintains the following active certifications and attestations: SOC 2 Type II, ISO 27001, PCI DSS Level 1, HIPAA attestation, and GDPR compliance. 15. Phone Line Routing, Business Continuity, and Data Protection

15.1 Phone Line Routing

The Service operates by receiving inbound calls forwarded from your existing business phone line. When you configure call forwarding to ARUON AI, your business phone number remains yours — we do not take ownership of, port, or otherwise claim rights to your telephone number. You retain full control of your phone line at all times and may disable forwarding to restore direct call handling at any point.

15.2 Call Handling Security

All calls routed through the Service are processed over encrypted channels. Voice data is transmitted using TLS encryption and is never exposed to unencrypted public networks. Our voice technology infrastructure, powered by ElevenLabs, maintains SOC 2 Type II, ISO 27001, and PCI DSS Level 1 certifications, ensuring that your customers’ conversations are handled with the same level of security used by enterprise financial and healthcare institutions.

15.3 Caller Information Protection

Caller information — including phone numbers, names, voicemails, appointment details, and any other data captured during a call — is encrypted at rest using AES-256 encryption and stored on U.S.-based servers. This data is accessible only to you (the account holder) and authorized ARUON AI personnel operating under strict role-based access controls, multi-factor authentication, and least-privilege policies. We do not sell, share, or monetize your caller data or use it for any purpose other than delivering and improving the Service.

15.4 Business Continuity

ARUON AI is designed for 24/7 availability so that your business never misses a call. In the unlikely event of a service disruption, calls will follow your phone carrier’s default behavior (e.g., ringing through to voicemail or your direct line if forwarding cannot be completed). We maintain redundant infrastructure and real-time monitoring to minimize downtime and will notify you promptly of any service interruption that may affect call handling.

15.5 Data Portability

Your data is yours. At any time during your subscription, you may request an export of your call logs, transcripts, contact information, and appointment records by contacting support@aruon.ai. Upon cancellation, you have thirty (30) days to request a full data export before your data is scheduled for permanent deletion in accordance with Section 8.4 of these Terms.

16. Service Availability

We strive to maintain the availability of the Service on a twenty-four (24) hour, seven (7) day per week basis. However, the Service may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our reasonable control. We will make commercially reasonable efforts to provide advance notice of planned maintenance windows. We are not liable for any downtime, interruptions, or performance degradation of the Service.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARUON-AI LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to indemnify, defend, and hold harmless Aruon-ai LLC and its officers, directors, members, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

19. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ARUON AI UTILIZES ARTIFICIAL INTELLIGENCE TECHNOLOGY. WHILE WE STRIVE FOR ACCURACY AND RELIABILITY, AI-GENERATED RESPONSES AND ACTIONS MAY OCCASIONALLY CONTAIN ERRORS OR INACCURACIES. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL HUMAN JUDGMENT, AND YOU ACKNOWLEDGE THAT YOU USE THE SERVICE AT YOUR OWN RISK.

20. Dispute Resolution and Governing Law

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

20.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Brownsville, Texas. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

20.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST ARUON-AI LLC.

21. Termination by Company

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including but not limited to situations where you breach these Terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination by us for cause, you will not be entitled to any refund of prepaid fees.

22. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via the email address associated with your account at least thirty (30) days before they become effective. Your continued use of the Service following the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must cancel your subscription and cease using the Service.

23. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any applicable service agreements or statements of work, constitute the entire agreement between you and Aruon-ai LLC regarding the Service and supersede all prior or contemporaneous agreements, representations, and understandings.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, power failures, internet disruptions, or telecommunications failures.
